1. Acceptance of Terms
By accessing www.zentreecare.ca, www.zentreecare.store, or the Zen Protection Command Center (collectively, the “Site”), you agree to be bound by these Terms of Use and our Privacy Policy. By checking the box during checkout or account creation, you acknowledge that you are waiving your right to sue in court and instead agree to binding arbitration in the Province of Ontario.
2. Definitions & Key Terms
“Zen” refers to Zen Tree Care Consulting Inc..
“Content” refers to all logos, text, forensics-based data, 3D scans, and proprietary methodologies generated by Zen.
“User” refers to any visitor or client interacting with our digital platforms.
“Terms” encompasses these Terms of Use, the Privacy Policy, and any signed Hazard Acknowledgment & Liability Waivers.
3. Professional Eligibility
You must be at least eighteen (18) years of age to use this Site or purchase our services. Use of the Site is permitted only for lawful purposes in accordance with our mission of Conservation, Care, and Respect.
4. Governing Law: Ontario Jurisdiction
These Terms are governed by the laws of the Province of Ontario, Canada. If any provision is found to be invalid or unenforceable, it will be severed, and the remaining terms will be enforced to the maximum extent permissible.
5. Your Account & Responsibilities
Users are responsible for maintaining the confidentiality of their Zen Protection Command Center login credentials. We reserve the right to terminate accounts, block access, or cancel service orders at our sole discretion if these Terms are violated.
6. Rules of Conduct
You agree not to:
Reproduce or post Zen Content for commercial exploitation without express written consent.
Misrepresent your identity or attempt to gain unauthorized access to restricted forensic dossiers.
Post or transmit harmful, deceptive, or disruptive files/viruses.
7. Intellectual Property & Exclusivity
All formulations, designs of services (including the Structural Readiness Audit), and technical descriptions remain the exclusive proprietary information of Zen. You agree not to reverse engineer or disassemble any part of Zen's services to derive competing intellectual property.
8. Online Transactions & Billing
8.1: Invoices/Subscriptions: You represent that you have the legal right to use the payment methods provided (Stripe/Credit Card).
Emergency Minimums: Transactions involving emergency triage are subject to a 4-hour minimum deployment charge.
Default: Failure to maintain an active payment method for the $199 ZPP Retainer may result in immediate deactivation of priority response status.
8.2: ZPP Asset Tiering & Billing "The Zen Protection Plan (ZPP) Baseline: Our proactive shield begins with a baseline retainer of $199 for the primary heritage asset on your property. To ensure the totality of your urban forest is covered under our priority response and structural auditing protocols, subsequent trees are integrated into your plan at a rate of $100 per asset. This ensures that every 'tall creature' on your estate receives the uncompromised professional mastery it deserves."
9. Disclaimer of Warranties & Limitation of Liability
OUR SERVICES AND CONTENT ARE PROVIDED “AS IS.” Zen explicitly disclaims all warranties, including fitness for a particular use.
Liability Cap: Our total aggregate liability for any claim shall not exceed the amount you have paid to Zen in the twelve (12) months prior to the event giving rise to the claim.
Forensic Acknowledgment: Zen is not liable for organism failure if the client has refused recommended mitigation identified in a signed Hazard Acknowledgment.
10. Dispute Resolution: Binding Arbitration
WE EACH AGREE THAT ANY DISPUTE WILL BE SETTLED BY CONFIDENTIAL BINDING ARBITRATION IN THE PROVINCE OF ONTARIO.
Waiver: You waive your right to a jury trial or to participate in a class-action proceeding.
Exceptions: Either party may bring an individual action in small claims court or seek injunctive relief for Intellectual Property protection.
Time Limit: Any cause of action must be commenced within one (1) year after the dispute arises.
